Welcome to Yoga Clan Private Limited (“Yoga Clan,” “we,” “us,” or “our”).
Yoga Clan is a teacher-first digital platform designed to empower certified yoga instructors to manage their classes, payments, and students through a seamless online experience.
By accessing or using the Yoga Clan website or mobile application (collectively, the “Platform”), you (“User,” “Teacher,” or “Student”) agree to be bound by these Terms & Conditions (“Terms”).
If you do not agree to these Terms, please do not use the Platform.
These Terms apply to all users, including teachers, students, studios, and visitors.
Users must create an account with accurate personal and/or business information. You are responsible for maintaining the confidentiality of your login credentials and for all activity performed under your account. Yoga Clan is not liable for unauthorized access resulting from user negligence. You agree to update your information promptly to maintain accuracy and compliance.
To receive payouts through Yoga Clan’s centralized routing, Teachers and Institutions must complete Yoga Clan’s onboarding and KYC process. Completion of KYC is a condition precedent to (a) enabling payout routing to a Teacher’s bank account, and (b) releasing funds to the Teacher.
By registering as a Teacher or Institution you expressly authorize Yoga Clan to: (i) initiate KYC verification requests via government-provided KYC APIs and/or authorised payment-processor KYC endpoints (for example, those used by Razorpay); (ii) create and configure a vendor/payout channel on Razorpay’s routing framework that uses the Teacher’s verified bank details for settlements; and (iii) store only the minimum permitted verification metadata (for example verification token, KYC status, date/time) required to operate payouts and to satisfy regulatory recordkeeping. You expressly consent to this verification and to Yoga Clan sharing necessary identifiers with the payment processor for onboarding and settlement purposes.
Yoga Clan stores the Teacher’s bank account details and payout channel identifiers necessary to route funds (for example: account holder name, account number, IFSC, vendor/payout channel ID). Yoga Clan does not store full sensitive KYC documents (such as scanned Aadhaar/PAN images) beyond what is permitted under applicable law and the government/API provider’s terms. Where law or the payment processor requires storage of certain verification artifacts, Yoga Clan will store only the minimum data required (for example, verification tokens or hashed identifiers) and will protect such data per our Privacy Policy.
If a Teacher fails to complete KYC or if KYC is rejected by the government API/payment processor, Yoga Clan may withhold or delay payouts, suspend payout routing, or restrict access to payout features until the matter is resolved. Yoga Clan is not liable for settlement delays caused by KYC failures or third-party rejections.
Yoga Clan is a digital intermediary.
It facilitates discovery, communication, class management, and payment transactions between independent yoga teachers and students.
Yoga Clan does not:
Teachers and students enter into a direct relationship when a class booking is made. Yoga Clan acts only as a facilitator.
Yoga Clan shall not be held liable for:
Teachers agree to:
Provide truthful information about their qualifications, class details, and pricing.
Conduct classes ethically, safely, and in compliance with Yoga Clan’s Community Guidelines.
Maintain attendance and payment records through the Platform and mark class and course completion accurately and promptly.
Complete and maintain up-to-date KYC and bank information required for payout routing and tax compliance.
Individual Teachers: must provide Aadhaar and PAN and bank account details.
Teachers operating as businesses/entities: must provide the applicable business KYC (see Section 12 for details).
Authorize Yoga Clan to perform KYC verification via government APIs and to provide necessary identifiers to the payment processor for vendor/payout channel creation.
Refrain from requesting or accepting off-platform payments for services listed on the Platform; all payments for Yoga Clan classes must be processed via Yoga Clan’s checkout and routing.
Avoid making false or unverified claims regarding health, therapy, or certification.
Refrain from sharing misleading or inappropriate content.
Assume full responsibility for student safety and instructional accuracy.
Provide any tax or compliance information reasonably requested by Yoga Clan to enable lawful settlement and reporting.
Failure to comply with KYC, bank verification, accurate attendance marking, or platform payment rules may result in withholding of payouts, reversal of settlements, account suspension, or other disciplinary measures.
Teachers are independent service providers and not employees or agents of Yoga Clan.
Students agree to:
Ensure medical and physical readiness before attending any yoga class.
Disclose relevant health conditions to instructors.
Acknowledge that participation is voluntary and at their own risk.
Respect teacher boundaries, class timings, and etiquette.
Use the Platform responsibly and refrain from recording, redistributing, or misusing content.
All student payments for classes, courses, subscriptions, or drop-in sessions are collected through Yoga Clan’s Razorpay account. Yoga Clan uses Razorpay’s routing/vendor channel features to route funds to Teachers’ bank accounts. As part of onboarding, and only after a Teacher’s KYC verification is successful, Yoga Clan configures a vendor/payout channel so that routed settlements may be credited to the Teacher’s nominated bank account by the payment processor.
Settlement routing is automated wherever possible; manual intervention is limited to exceptions (e.g., compliance review, failed settlements, or KYC issues). Yoga Clan stores payout-related metadata required for routing and reconciliation (for example: vendor/payout channel ID, last settlement reference, KYC verification token and status), and Teacher bank details necessary for payout execution.
a. Course purchases (example 10-class program):
When a student purchases a course, the full payment is collected into Yoga Clan’s Razorpay account and automatically recorded on the Platform. Both the Teacher and Yoga Clan receive an automated confirmation.
As soon as the payment is successfully captured, Yoga Clan will initiate the routing of the Teacher’s payout (net of platform commissions, fees, and applicable charges).
Once routing is initiated, Razorpay will process the transfer to the Teacher’s registered bank account in accordance with Razorpay’s payout cycle, settlement timelines, and banking regulations.
Yoga Clan does not control the final settlement timing, which is governed entirely by Razorpay’s system rules and the receiving bank’s processing schedule.
Minimal manual intervention may occur during routing initiation where required by Razorpay’s compliance workflows.
b. Drop-In classes:
Drop-in sessions follow the same centralized payment collection and routing process.
When a drop-in class payment is completed and captured, the payout routing to the Teacher is immediately initiated (after deducting platform commissions and charges).
Razorpay will then transfer the funds to the Teacher’s bank account based on its standard payout cycle and banking settlement schedules.
No weekly batch, milestone, or 50% completion threshold applies to drop-in classes.
All Teacher payouts—whether for full courses or individual sessions—are routed immediately upon payment capture. Settlement to Teacher bank accounts is executed strictly as per Razorpay’s payout cycle and is not controlled or guaranteed by Yoga Clan.
Yoga Clan deducts platform commissions, applicable taxes, and payment gateway charges from gross receipts prior to initiating routing to the Teacher. Commission rates and fee schedules will be disclosed at onboarding and visible in the Teacher dashboard. The net amount after such lawful deductions is what Yoga Clan will request the payment processor to credit to the Teacher’s account.
Because Yoga Clan centrally collects payments and initiates routing:
Refund requests must be submitted via the Platform. Yoga Clan will process refunds through Razorpay in accordance with Teacher policies, platform rules and applicable law.
Refunds for full courses are typically processed only if requested before 50% of the course is completed, except as otherwise required by law or by express Yoga Clan approval.
Yoga Clan may withhold, delay, or reverse payouts where refunds, chargebacks, or disputes require reconciliation.
Yoga Clan may delay or hold routing of payments where KYC, tax or compliance checks are outstanding, or where suspected fraud or disputes exist. Yoga Clan is not liable for settlement delays caused by the payment processor, Razorpay routing, banking networks, or regulatory holds.
Teachers are responsible for reporting income and paying taxes. Yoga Clan may collect and store information required for tax reporting and may provide settlement statements or reports to Teachers and to tax authorities as required by law.
If a teacher cancels classes:Students may request refunds as per the teacher’s policy.
Yoga Clan may hold or reverse payouts for incomplete courses.
Excess amounts already settled to teachers may be debited from future payouts.
Cancellations by students are governed by the teacher’s refund policy. After 50 percent of classes are completed, refunds are generally not permitted.
If classes cannot be delivered due to technical or operational issues attributable to the teacher or external events, Yoga Clan may process refunds and hold corresponding payouts.
All intellectual property rights in the Platform, including its software, logo, design, and brand assets, are owned by Yoga Clan.
Teachers retain ownership of their teaching content and materials uploaded to the Platform.
Users must not copy, redistribute, or use Yoga Clan’s materials or branding for commercial purposes without written consent.
By uploading content, users grant Yoga Clan a non-exclusive, royalty-free license to display such content for promotional and operational purposes.
All users must comply with Yoga Clan’s User Conduct & Community Guidelines.
Prohibited activities include:
Harassment, hate speech, or discrimination.
Uploading or distributing explicit, false, or harmful content.
Misusing community forums for promotion or spam.
Impersonation, fraud, or unethical behavior.
Violations may result in warnings, suspension, or permanent account termination.
Yoga Clan may use AI-assisted tools to:
Help teachers create promotional materials (e.g., posters or videos).
Analyze engagement metrics or posture analytics.
All AI features are implemented responsibly, using anonymized data, and in compliance with privacy laws. Users consent to AI-assisted operations by using the Platform.
To enable secure routing and regulatory compliance, Yoga Clan will: (a) initiate KYC verification requests for Teachers using government-provided KYC APIs and/or authorised payment-processor KYC endpoints; and (b) store only the minimum verification metadata required by law and by the payment processor (for example verification tokens, KYC status, verification timestamp, vendor/payout channel ID). Yoga Clan will not retain original sensitive KYC documents (e.g., scanned Aadhaar/PAN images) except where required by law or where the payment processor’s onboarding requires storage; in such cases Yoga Clan will store only the minimum permitted copies and will protect them under our security controls.
Yoga Clan stores Teacher bank account details and payout channel identifiers required to route funds (account holder name, account number, IFSC, payout channel/vendor ID). Yoga Clan also stores payment transaction metadata (Razorpay order IDs, settlement references, amounts, course IDs, refund flags) necessary for reconciliation, dispute resolution and tax reporting.
Teachers must provide the documents required for their category:
Individual Teacher: Aadhaar, PAN, and bank account details.
Sole Proprietorship: GST/Udyam/Trade License (if applicable), proprietor ID and address proof, bank proof.
Partnership / Private Limited / LLP: Incorporation certificate, partnership deed/board resolution, company PAN, company address proof, directors’ KYC, bank proof.
Trust / Society / NGO: Trust deed or registration certificate, organization PAN, authorised signatory KYC, bank proof.
By submitting KYC and bank information, Teachers consent to Yoga Clan sharing such information and verification requests with Razorpay and with government KYC APIs solely for the purposes of identity verification, vendor/payout channel creation, settlement routing, and compliance. Yoga Clan will only share the minimum data necessary and will rely on Razorpay and government APIs for secure processing.
Yoga Clan employs administrative, physical and technical safeguards to protect stored bank details and verification metadata. KYC verification tokens, payout metadata and settlement records may be retained for periods required by law (including tax and financial record-keeping laws—typically up to 7 years). Teachers may request access to, correction of, or deletion of personal data subject to legal retention obligations; deletion requests that would interfere with required record-keeping or ongoing payout obligations may be declined until obligations are satisfied.
Yoga Clan does not store full payment instrument credentials (e.g., card numbers, CVV, UPI credentials). Such sensitive payment instrument handling is performed by Razorpay under its security and regulatory framework.
Yoga Clan shall not be liable for:
Any personal injury, health issue, or loss incurred during yoga practice;
Teacher misconduct, negligence, or misinformation;
Delays or failures caused by third-party services;
Indirect, incidental, or consequential damages.
Delays, holds, or reversals connected to centralized payment collection or payout cycles.
Yoga Clan’s total liability shall not exceed the amount of service fees paid by the user in the month preceding the claim.
Yoga Clan may suspend or terminate user accounts for:
Violating these Terms or Community Guidelines;
Fraudulent or illegal activities;
Repeated policy breaches or unethical conduct.
Users may request voluntary account deletion by contacting the grievance officer.
Yoga Clan and its teachers are not responsible for delays or non-performance due to causes beyond their control, including natural disasters, war, pandemics, death, or major technical failures.
Yoga Clan may modify or update these Terms at any time.
Material changes will be notified via email or on the Platform.
Continued use of the Platform after such changes constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of India.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Yoga Clan has appointed a Grievance Officer to address user complaints.
